1. Acceptance of Terms
By accessing or using True Margin ("the Service"), operated by True Margin Labs LLC, a Wyoming limited liability company, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
True Margin is an AI-powered e-commerce operating platform for online merchants. The Service includes profit analytics, customer review intelligence, product research, AI ad creative generation, a curated advertising reference library, and business intelligence tools. The Service connects to your Shopify store(s), ad platforms, and supplier accounts to provide these capabilities.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized use of your account.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose.
- Attempt to gain unauthorized access to our systems or other users' data.
- Interfere with or disrupt the Service or servers.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service to compete directly with True Margin.
5. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. You retain ownership of all data you provide to the Service. We process your data solely to provide the Service as described.
6. Third-Party Integrations
The Service connects to third-party platforms (Shopify, Meta, Google, TikTok, Snapchat, CJ Dropshipping, etc.) via their APIs. We are not responsible for the availability, accuracy, or policies of these third-party services. Your use of these integrations is subject to their respective terms of service.
7. Financial Disclaimer
The Service provides analytics based on data from your connected platforms. Calculations including profit, ROAS, LTV, and forecasts are estimates based on available data. We do not guarantee the accuracy of any financial figures. The Service is not a substitute for professional accounting or financial advice. You are solely responsible for your business decisions.
8. AI-Generated Content & Advertising
The Service includes AI-powered tools that generate content including but not limited to: ad creatives, copy, headlines, images, product research, customer analysis, and marketing recommendations ("AI-Generated Content"). By using these tools, you acknowledge and agree:
- All AI-Generated Content is provided "as-is" for suggestion purposes only. You are solely responsible for reviewing, editing, approving, and publishing any content generated by the Service. True Margin does not publish, distribute, or run any advertisements on your behalf.
- You are solely responsible for all advertising claims, representations, and compliance. This includes compliance with FTC guidelines, FDA regulations, advertising standards, truth-in-advertising laws, platform-specific ad policies (Meta, Google, TikTok, etc.), and any other applicable laws or regulations in any jurisdiction where your advertisements appear.
- AI-Generated Content may contain inaccurate, misleading, or unsubstantiated claims. The AI may generate product claims, statistics, testimonials, before/after representations, health claims, or other statements that are not verified, not supported by evidence, or not compliant with applicable regulations. You must independently verify all claims before use.
- True Margin assumes zero liability for any consequences arising from your use of AI-Generated Content. This includes but is not limited to: regulatory fines, ad platform account suspensions or bans, legal claims from consumers or competitors, FTC enforcement actions, intellectual property disputes, reputational damage, lost revenue, or any other direct or indirect damages.
- You indemnify and hold harmless True Margin Labs LLC, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from your use, publication, or distribution of AI-Generated Content.
- AI-generated images may not accurately represent your product. The Service uses third-party AI image generation models that interpret product photos. The resulting images may differ from your actual product in appearance, proportions, labeling, or other details. You are responsible for ensuring any published imagery accurately represents your product.
9. Creative Library & Reference Ads
The Service includes a library of advertisements sourced from publicly available platforms, including the Meta Ad Library and other public advertising transparency databases ("Reference Ads"). By using the Creative Library, you acknowledge and agree:
- Reference Ads are sourced from public advertising transparency databases. These advertisements are made publicly available by their respective platforms pursuant to advertising transparency requirements. True Margin does not claim ownership of any third-party advertisement displayed in the Creative Library.
- Reference Ads are provided for inspiration and research purposes only. They are intended to inform your creative strategy — not to be copied, reproduced, or redistributed in their original form. You may not download, republish, or distribute any Reference Ad outside of the Service.
- Using a Reference Ad as a style input for AI generation does not grant you any rights to the original advertisement. The AI analyzes visual style, layout patterns, and copy frameworks from Reference Ads to generate entirely new, original creative assets for your brand. The generated output is a new work — not a derivative of the Reference Ad.
- You are solely responsible for ensuring your generated creatives do not infringe on any third party's intellectual property rights. While the AI generates original assets, you must review all output before publishing to ensure it does not contain trademarks, trade dress, copyrighted elements, or other protected material belonging to third parties.
- True Margin may add, remove, or modify Reference Ads at any time without notice, including in response to takedown requests from rights holders.
10. Ownership of Generated Content
Subject to the terms below, you retain ownership of all content you create using the Service, including AI-generated ad creatives, copy, and images ("Your Generated Content").
- Your Generated Content is yours to use commercially, including in paid advertisements, marketing materials, social media, websites, and any other lawful purpose.
- Generated content is not exclusive. The AI models powering the Service may generate similar or identical content for other users using similar inputs. You do not have exclusive rights to any AI-generated output.
- AI-generated content may not be eligible for copyright protection. Under current intellectual property law, works generated solely by AI without sufficient human authorship may not qualify for copyright registration. You should not rely on copyright protection for unmodified AI-generated outputs.
- You grant True Margin a limited license to display, store, and process Your Generated Content solely for the purpose of providing and improving the Service. We will not sell, license, or distribute Your Generated Content to third parties.
11. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications to the Service at any time. We are not liable for any loss resulting from Service downtime.
12. Limitation of Liability
To the maximum extent permitted by law, True Margin Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.
Without limiting the foregoing, True Margin specifically disclaims all liability for: (a) any advertising or marketing content you create, publish, or distribute using the Service; (b) any regulatory action, fine, penalty, or enforcement proceeding related to your advertisements; (c) any ad platform account suspension, ban, or restriction resulting from content generated by the Service; (d) any consumer complaint, lawsuit, or claim related to advertising claims derived from AI-Generated Content; (e) any intellectual property infringement in AI-generated images or copy. Our total aggregate liability for all claims shall not exceed the amount you paid to True Margin in the twelve (12) months preceding the claim.
13. Credits and Referral Program
True Margin uses a credit system to manage access to AI-powered features. Credits are granted based on your account tier and may be earned through our referral program.
- Credits have no cash value and cannot be transferred, sold, or exchanged.
- We reserve the right to modify credit allocations, costs, and the referral program at any time.
- Abuse of the referral program — including creating fake accounts, using disposable emails, or any form of self-referral — may result in forfeiture of earned credits and account suspension.
- Referral rewards are subject to verification. We may delay or withhold rewards pending review.
- Unused credits do not roll over between billing periods for paid plans. Free-tier credits do not expire.
14. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms. Upon termination, we will delete your data in accordance with our Privacy Policy.
15. Changes to Terms
We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms. We will notify you of material changes by updating the date at the top of this page.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Wyoming.
